1. Agreement and eligibility

These Terms & Conditions form a binding End User Licence Agreement ("Terms") between you and QuantamLoop Infotech ("QuantamLoop," "we," "us," or "our") for Dibz: Split Bills ("Dibz" or the "App"). By creating an account, selecting the acceptance checkbox, downloading, accessing, or using Dibz, you agree to these Terms and our Privacy Policy.

You must be at least 13 years old, or the higher minimum age required where you live, and legally able to enter this agreement. If you use Dibz for an organization, you confirm you are authorized to bind that organization.

If you do not agree, do not create an account or use Dibz.

2. Accounts, verification, and security

• Dibz requires an email/password account. You must provide accurate information, verify your email when requested, and keep credentials confidential.
• You are responsible for activity under your account and for protecting devices on which Dibz is signed in.
• Tell us promptly at contact@quantamloopinfotech.com if you suspect unauthorized access.
• Authentication, signup, verification, password recovery, invitation acceptance, and account deletion require internet access.
• You may not create accounts through bots, impersonate another person, share a review/testing account without authorization, or bypass account/device protections.

3. What Dibz provides

Dibz helps users create groups, add members, record expenses and settlements, calculate shares and balances, attach receipts, manage categories and budgets, create recurring rules, comment on entries, review history, and export records. Features may vary by platform, region, account status, Premium entitlement, and app version.

We may improve, replace, suspend, or discontinue features when reasonably necessary for security, law, store policy, provider changes, or product operation. Where appropriate, we will give notice of material changes.

4. Shared groups, members, and invitations

When you join a shared group, authorized members may view and change group ledger information. Only the group to which an account is invited should become available to that account; unrelated private groups remain private.

• Invite only people you are authorized to contact and share records with.
• Invitation links are bearer links. Keep them private and do not publish them publicly.
• Group members are responsible for verifying entries, shares, currencies, exchange rates, settlements, and permissions.
• Edits by one authorized member may synchronize to every member and device in that group.

Disputes between group members are their responsibility. Dibz provides records and calculations but does not decide who legally owes money.

5. Your content and permissions

You retain ownership of content you submit, including group names, expense descriptions, comments, receipts, and images. You grant QuantamLoop a worldwide, non-exclusive, royalty-free licence to host, reproduce, process, synchronize, display, and transmit that content only as needed to operate, secure, and support Dibz.

You confirm you have permission to upload and share the content and that it does not infringe privacy, copyright, publicity, confidentiality, or other rights. Do not upload bank credentials, government identifiers, card numbers, illegal content, malware, or information unrelated to legitimate shared-expense use.

We may remove or restrict content when reasonably necessary to comply with law, protect users, address infringement, or maintain security.

6. Financial and currency disclaimer

• Dibz never moves money. A "settlement" is a ledger record only.
• Balances are estimates derived from user-entered data and split rules.
• Currency conversion depends on exchange-rate snapshots entered or saved for the expense. Missing or incorrect rates can exclude or misstate combined totals.
• You must verify amounts and independently arrange any real payment.
• Dibz does not provide financial, legal, accounting, or tax advice.

7. Local use, synchronization, and availability

Dibz stores an account-scoped ledger locally and synchronizes authorized records through cloud services. Previously available data may remain usable during temporary connection loss, but cloud-dependent actions require internet access.

Synchronization can be delayed by connectivity, background restrictions, provider availability, or conflicting edits. Dibz may apply conflict-resolution and deletion-tombstone rules to converge devices. You should review important records after reconnection and retain independent copies of records you are legally required to keep.

We do not guarantee uninterrupted, real-time, or error-free availability.

8. Acceptable use

You must not:

• Use Dibz for fraud, harassment, unlawful debt collection, stalking, money laundering, sanctions evasion, or illegal activity.
• Attempt unauthorized access to another account, group, database, device ledger, API, or provider.
• Reverse engineer, scrape, overload, disrupt, probe, or bypass security, rate limits, subscriptions, ads, or technical restrictions except where law expressly permits.
• Upload malicious code or infringing, deceptive, abusive, or privacy-invasive content.
• Resell, sublicense, or commercially exploit Dibz without written permission.

9. Dibz Premium, subscriptions, and purchases

Dibz may offer Premium features through an annual auto-renewing subscription and a lifetime, non-renewing purchase. Features can include an ad-free workspace, PDF/CSV export options, recurring tools, additional budgets or custom categories, saved split preferences, and App Lock. The paywall and store product page show the current offering.

• Prices and taxes are localized and controlled by Apple or Google.
• Annual subscriptions renew automatically unless cancelled through the store before the renewal deadline shown by the store.
• Manage or cancel a subscription in your Apple Account or Google Play account settings.
• Refunds are handled by Apple or Google under their rules. QuantamLoop cannot directly issue store refunds.
• Use Restore Purchases for eligible purchases made with the same store account.
• Deleting your Dibz account or uninstalling the App does not cancel a store subscription.
• Premium status may take time to update when a store or RevenueCat is unavailable.

10. Advertising

Eligible free users may see Google AdMob ads. Formats may include banners, interstitials, and optional rewarded ads. Advertising is subject to applicable consent choices, platform permissions, frequency limits, and Google policies. Premium users are intended to receive an ad-free app experience.

Never click ads deceptively or manipulate impressions or rewards. Ad content and advertised products are supplied by third parties; QuantamLoop does not endorse them and is not responsible for transactions with advertisers.

11. Account deletion, suspension, and termination

You may permanently delete your account in Settings > Account > Delete account or through the web deletion page. Deletion is immediate and cannot be undone.

Private account data is deleted. When remaining members require shared ledger facts for balances and history, the minimum necessary record may remain under the anonymized identity Deleted member. Details are in the Privacy Policy.

We may suspend or terminate access for material or repeated breach, fraud, security risk, legal requirement, or harm to users or the service. Where practical, we will provide notice and an opportunity to remedy. Terms that by nature should survive termination, including ownership, disclaimers, liability, and dispute provisions, remain effective.

12. App licence and intellectual property

Subject to these Terms, QuantamLoop grants you a limited, personal, revocable, non-exclusive, non-transferable licence to install and use Dibz on devices you own or control, as permitted by applicable store usage rules.

Dibz, its software, design, brand, artwork, documentation, and non-user content are owned by QuantamLoop or its licensors and protected by intellectual-property law. No rights are granted except those expressly stated.

Feedback may be used without restriction or payment, provided it does not identify confidential information you are not authorized to share.

13. Disclaimers, liability, and indemnity

To the maximum extent permitted by law, Dibz is provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted availability. Nothing excludes non-waivable consumer rights.

To the maximum extent permitted by law, QuantamLoop and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits, data, goodwill, or opportunities; disputes between members; incorrect entries or exchange rates; or reliance on a calculated balance.

Where liability cannot be excluded, our aggregate liability relating to Dibz will not exceed the greater of the amount you paid QuantamLoop for Dibz during the twelve months before the claim or USD 50, unless applicable law requires more.

You agree to indemnify QuantamLoop against third-party claims arising from your unlawful use, your content, your violation of another person's rights, or your material breach, to the extent permitted by law.

14. Additional Apple App Store terms

If you obtained Dibz through Apple, you and QuantamLoop acknowledge that these Terms are between you and QuantamLoop, not Apple. Apple is not responsible for Dibz or its content.

• The licence is limited to Apple-branded products you own or control and as permitted by Apple Media Services usage rules, including Family Sharing where applicable.
• QuantamLoop, not Apple, is responsible for maintenance, support, warranties, product claims, legal compliance, and intellectual-property claims relating to Dibz.
• If Dibz fails to conform to an applicable warranty, you may notify Apple and Apple may refund the purchase price, if any. To the maximum extent permitted by law, Apple has no other warranty obligation.
• You confirm you are not located in a country subject to a US Government embargo or designated as supporting terrorism, and you are not on a prohibited or restricted-party list.
• You must comply with applicable third-party terms.
• Apple and its subsidiaries are third-party beneficiaries and may enforce these Terms against you.

Apple's Standard Licensed Application End User License Agreement also applies. If it conflicts with these Terms, non-waivable Apple terms and applicable law control.

15. Additional Google Play terms

If you obtained Dibz through Google Play, your use is also subject to the Google Play Terms of Service and applicable usage rules. Google is not a party to these Terms and does not provide Dibz support. Google Play handles billing, cancellation, and refund requests under its policies.

In a conflict, non-waivable Google Play terms or applicable law control for the Google Play transaction.

16. Third parties, governing law, and general terms

Dibz relies on third-party services, including Supabase, Brevo, Google AdMob, RevenueCat, Apple, and Google. Their services and privacy practices may be governed by separate terms. We are not responsible for independent third-party services beyond our legal obligations.

These Terms are governed by the laws applicable to QuantamLoop's operations, without regard to conflict-of-law principles, while preserving mandatory consumer protections and the courts available to you under local law. Before filing a claim, contact us and allow 30 days for an informal resolution where permitted.

If a provision is unenforceable, it will be limited to the minimum extent necessary and the rest remains effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without consent; we may assign them in connection with a reorganization or transfer of Dibz subject to applicable law.

We may update these Terms for legal, security, provider, or product changes. We will update the date above and provide additional notice where required. Continued use after the effective date constitutes acceptance where lawful; material changes requiring consent will be presented for acceptance.
